MEMBERSHIP AGREEMENT

This Membership Agreement (the "Agreement") is made and entered into by You (the "Member") and Podcast Studio Hire (the "Studio"), effective on the date of acceptance by the Studio.

1. Membership

Subject to the terms and conditions of this Agreement, the Studio agrees to provide the Member with access to the Studio's podcast recording and production facilities (the "Facilities") for the purpose of recording and producing podcasts and content. The Member agrees to pay the Studio the monthly membership fee for the type of membership chosen in exchange for this access. This Agreement shall be a rolling monthly agreement, with either party able to terminate the Agreement with written notice via email.

2. Use of Facilities

The Member shall be entitled to use the Facilities during the Studio's regular business hours, as determined by the Studio from time to time. The Member shall not use the Facilities for any illegal or unauthorised purpose. Smoking or consuming alcohol is strictly not allowed in the studio.

3. Termination by the Studio

The Studio may terminate this Agreement at any time, with or without cause, upon written notice via email to the Member. Upon termination of this Agreement by the Studio, the Member shall immediately vacate the Facilities and return all keys and access cards to the Studio.

4. Termination by the Member

The Member may terminate this Agreement at any time upon thirty (30) days written notice via email to the Studio. Upon termination of this Agreement by the Member, the Member shall immediately vacate the Facilities and return all keys and access cards to the Studio.

5. Intellectual Property and Content Usage Rights

The intellectual property rights in any material you create or record at our studio belong to you. However, by using our studio and services, you grant us a non-exclusive, worldwide, royalty-free, perpetual licence to use and reproduce the material for promotional and marketing purposes.

6. Indemnification

The Member shall indemnify and hold the Studio, its affiliates, and their respective directors, officers, employees, and agents harmless from any and all claims, damages, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Member's use of the Facilities.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the parties hereby consent to the exclusive jurisdiction of the courts of England and Wales in any action or proceeding arising out of or relating to this Agreement.

9. Legal Binding

This Agreement shall become legally binding upon the Member completing the sign-up process for membership at the Studio.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral. This Agreement may not be amended or modified except in writing signed by both parties.

11. Membership Hours

It is your responsibility to utilise membership hours within your billing cycle, before the upcoming payment date, which is the date you started your plan on, e.g. 12th of the month; they are non-transferrable to the subsequent billing period. Unused membership hours will expire by the upcoming billing date and cannot be carried forward or credited to future months or periods.

12. Usage outside of Membership Hours

If the Member requires additional hours to access and use the Studio outside of the hours included in their membership plan, they will be charged at the Studio's normal hourly rates for such usage, which can be found here https://podcaststudiohire.co.uk/booking. These rates are subject to change at the Studio's discretion.

13. Remaining Membership Hours After Cancellation

Memberships are paid in advance for the month and are non-refundable for any time/hours left that has already been paid for, regardless of usage.
